In our Corporate Department, we represent large, mid-size, and small businesses in myriad business transactions, including mergers & acquisitions, joint ventures, and capital improvement and financing. We also serve in a general counsel role, assisting and advising in such matters as contract negotiation and development, employment, and corporate compliance. In fact, following the Enron scandal, we have responded to the significant increase in our clients’ focus on governance issues by educating various boards on their fiduciary duties as trustees or directors, or by advising officers and boards on discrete governance matters. Representative Matters● Engaged as borrower’s counsel to several mid-size (1,000 – 3,000 employees) corporations in closings on tax-exempt bond financings for capital expansion and construction ● Act as general counsel to a software design and development company that specializes in programs for health care facilities ● Significant representation of, and advice to, nonprofit corporations ● Provide on-going business advice to a number of small to mid-size corporations ● Assisted in the incorporation, start-up and capitalization of several new companies ● Engaged as seller’s counsel or buyer’s counsel in a variety of mergers and acquisitions ● Advise numerous entities on workplace laws, including anti-discrimination, wage & hour, worker’s compensation, OSHA, unemployment, and reductions in force ● Represented parties in matters before or involving state agencies, including the Massachusetts Commission Against Discrimination, Division of Insurance, Office of the Attorney General, Department of Public Health, Executive Office of Elder Affairs, Department of Mental Retardation, and the State Auditor ● Helped several clients collect on unpaid invoices for services, space or products ● In coordination with our litigation department, represented companies and individuals in state and federal courts in business and commercial litigation ● Actively involved in the voluntary dissolution of a charitable organization with over $4M in assets, and helped oversee distribution of such assets to other charities throughout the City of Boston
